NOTICE OF ADOPTION HARBOR TRANSIT MULTI-MODAL TRANSPORTATION SYSTEM (HTMMTS) PLEASE TAKE NOTICE that the Board of Directors of Harbor Transit Multi-Modal Transportation System ("Harbor Transit") during a meeting held in Grand Haven, Michigan on February 4, 2015, adopted the following Amendment to the Articles of Incorporation for Harbor Transit: AMENDMENT TO THE ARTICLES OF INCORPORATION OF HARBOR TRANSIT MULTI-MODAL TRANSPORTATION SYSTEM EFFECTIVE JULY 1, 2011 This Amendment to the Articles of Incorporation of the Harbor Transit Multi-Modal Transportation System ( Harbor Transit ) is made and executed on this 4th day of February, 2015. WITNESSETH: WHEREAS, the Articles of Incorporation of Harbor Transit were filed with the Michigan Secretary of State, the Ottawa County Clerk and the Director of the Department of Transportation subsequent to the first day of July, 2011; WHEREAS, Harbor Transit, pursuant to Section 457 of P.A. 1986, No. 196, the Public Authority Transportation Act, MCL 124.451 et seq. (the"Act") may add a political subdivision as a member of the Authority; NOW THEREFORE, IT IS AGREED by and between the parties hereto, that said Articles of Incorporation be and hereby further amended as follows: 1.Article II of the Articles is hereby amended and restated in its entirety to read as follows: The political subdivisions of Harbor Transit shall be the City of Grand Haven, the City of Ferrysburg, the Village of Spring Lake, Spring Lake Township, and Grand Haven Charter Township. Buchanan Spring Lake, Michigan 49456 Grand Haven Charter Township 13300 168th Avenue Grand Haven, Michigan 49417 A political subdivision or a portion of a political subdivision may become a member of Harbor Transit after its formation upon resolution adopted by a majority vote of the members elected to and serving on the legislative body of the political subdivision requesting membership and upon resolution adopted by a two-thirds vote of the members serving on the Board of Directors of Harbor Transit approving an amendment to these Articles of Incorporation adding all or a portion of the political subdivision. 2.Article VIII of the Articles is hereby amended and restated in its entirety to read as follows: A.Harbor Transit shall be directed and governed by a Board of Directors, hereinafter referred to as the "BOARD". B.The BOARD shall consist of the appointed manager from each participating political subdivision and one additional appointed member representing such participating political subdivision. There shall also be one at-large member selected by the Joint Harbor Transit System Board, for a total of at least eleven (11) Board members. C.Members of the BOARD must be at least eighteen (18) years of age and residents of the Harbor Transit service area. The service area shall be determined by the Harbor Transit Board of Directors pursuant to the requirements of 1986 PA 196, as amended, being MCL 124.451 et seq. D.The term of the appointed managers from each of the participating political subdivisions shall be for a term that runs concurrent with the time period for which they hold their office. The term of each other appointed Board member shall be for a term of three (3) years. E.All Board members shall serve at the pleasure of the participating political subdivision and may be removed, before completing their full term, in the same manner by which they were appointed. All Board members, once appointed, shall continue to serve until reappointed, removed, a replacement is appointed, or they resign. All persons appointed to fill a vacancy created by the death, resignation, or removal of a serving Board member shall only serve to fill the remaining term of the Board member they replaced. F.The BOARD shall hold at least an annual meeting at such place and time as shall be fixed by the BOARD. The BOARD shall at each annual meeting elect a President, Vice President and Secretary. The BOARD shall have the authority to appoint a treasurer and recording secretary who need not Board members. The BOARD shall transact such other business as may be necessary at its annual meeting and shall fix the time and place for regular meetings. The BOARD shall meet not be less than bi-monthly. G.The BOARD shall keep a written or printed record of every meeting, which record shall be subject to the provisions of 1976 PA 276, as amended (Open Meeting Act). The business that the Board of Directors performs shall be conducted at a public meeting held in compliance with the Open Meeting Act. To the extent it is not inconsistent with the Open Meeting Act all meetings shall be conducted in accordance with Roberts Rules of Order. H.The BOARD shall supply a system of accounts to conform to the system required by law and shall provide for the annual auditing of said accounts in accordance with law. The audit report, once received by the BOARD, shall be provided to each participating political subdivision and any community in the future that may purchase service from Harbor Transit. I.The BOARD shall have prepared an annual report regarding the operation and financial condition of Harbor Transit, which report shall be available to the public and submitted to the participating political subdivisions. J.The BOARD shall adopt by-laws, policies and procedures it deems reasonably necessary or proper for the conduct of the business of the BOARD, for accomplishing the purposes for which Harbor Transit is created, and for the employees, property, and facilities under its jurisdiction. K.The Harbor Transit Board Secretary shall be charged with the responsibility of causing this Amendment to the Articles of Incorporation to be filed as provided in 1986 PA 196, as amended. The Board Secretary shall be responsible to publish this Amendment in a publication of general circulation within the service area of Harbor Transit. L.Board members may not be compensated by Harbor Transit for attendance at meetings of the BOARD; rather, each participating political subdivision will decide whether or not to compensate its appointed members. They shall, however, receive reimbursement from Harbor Transit for actual expenses incurred in the performance of their official duties. All such compensation and expenses must first be approved and enumerated in the annual budget. 3.This Amendment is hereby incorporated into and made a part of the Articles of Incorporation. In all other respects, Harbor Transit hereby ratifies and confirms the Articles of Incorporation. IT IS FURTHER AGREED, that the Township Clerk for Spring Lake Township will execute the endorsement on the last page of this document per the requirements of MCL 124.457; the Township Clerk may execute the endorsement in counterparts.
